Terms and Conditions

These Terms and Conditions govern the services provided by BizOptify, a service operated by Certiplex, located in the State of California. By purchasing services from BizOptify, the client agrees to the terms outlined below.
 
1. Services Provided
BizOptify provides appointment-setting and outreach services designed to connect clients with business owners, property managers, facility managers, and other commercial decision-makers who may be open to discussing the client’s services.

BizOptify performs outbound outreach to businesses within the target market specified by the client.

BizOptify provides opportunities for business conversations and introductions. BizOptify does not guarantee contracts, sales, revenue, or business agreements.
 
2. Payment Terms
BizOptify operates on a pay-per-appointment model.

Payment is required in advance before outreach services begin.

Due to the nature of outreach services and the work performed immediately after purchase, all sales are final and no refunds will be provided once payment has been processed.

Introductory or promotional packages offered to first-time clients are limited to one purchase per business unless otherwise stated.
 
3. Definition of a Qualified Appointment
A qualified appointment is defined as a scheduled conversation with a business owner, property manager, facility manager, or other appropriate decision-maker who indicated they were open to discussing the client’s services when contacted by BizOptify’s outreach team.

BizOptify makes reasonable efforts to confirm the prospect is an appropriate contact and willing to have a conversation.
 
4. Sales Outcomes
BizOptify does not guarantee:
• Sales
• Contracts
• Revenue
• Business agreements
• New customers
Results from appointments depend on many factors including the client’s services, pricing, presentation, reputation, and follow-up.
BizOptify’s role is to create opportunities for conversations with potential prospects.
 
5. Appointment Replacement Policy
BizOptify offers a 30-day replacement policy for appointments that do not meet the qualification standards described in these Terms.

If an appointment does not occur as expected or appears to fall outside the qualification definition, BizOptify may contact the prospect directly to verify the circumstances and determine whether the appointment met the qualification standards.

In some cases, BizOptify may attempt to reconnect with the prospect in order to confirm interest or restore the opportunity before issuing a replacement.

If the appointment is confirmed to not meet qualification standards, BizOptify may provide a replacement appointment when appropriate.

The 30-day replacement period begins on the date the appointment details are delivered to the client by email.

Replacement requests must be submitted within 30 days of that delivery date.

BizOptify reserves the right to review each request and determine whether a replacement appointment is warranted.
 
6. Situations That Do Not Qualify for Replacement
Appointments will not be replaced based solely on the outcome of a conversation.

The following situations do not qualify for replacement:
• The prospect declines services
• The client does not close the sale
• Pricing disagreements occur
• The prospect already uses another vendor
• The prospect delays a decision
• The client fails to follow up with the prospect
• The client determines after the meeting that the opportunity is not desirable

BizOptify’s responsibility is limited to facilitating introductions with prospects who were open to a conversation when contacted.
 
7. Prospect No-Shows or Rescheduling
Occasionally a prospect may need to reschedule or may not be available at the scheduled time.

Clients are encouraged to attempt to reconnect with the prospect before requesting a replacement.

BizOptify will review no-show situations on a case-by-case basis and may provide a replacement appointment when appropriate.
 
8. Prior Contact or Existing Relationships
Due to the nature of outbound prospecting, it is possible that a prospect contacted by BizOptify may already be known to the client.

An appointment will not qualify for replacement solely because the prospect was previously known to the client or had prior interactions with the client’s business.

Replacement may only be considered if the prospect was an existing active customer or had a confirmed scheduled appointment with the client prior to BizOptify’s outreach, and the client can provide reasonable documentation of that prior relationship.

BizOptify reserves the right to review such claims and determine whether a replacement appointment is warranted.
 
9. Targeting Information
Clients may provide targeting preferences including geographic areas, industries, and business types through the BizOptify questionnaire.

BizOptify will make reasonable efforts to follow these preferences but cannot guarantee that every outreach attempt will perfectly match all requested criteria.
 
10. Use of Appointment Information
Once prospect contact information has been delivered to the client, the appointment opportunity is considered fulfilled.

Clients may not use prospect contact information provided by BizOptify to attempt to conduct business with the prospect and later claim the appointment was invalid solely because the business relationship did not result in a sale.

Attempting to obtain the benefit of the introduction while simultaneously requesting replacement or disputing the validity of the appointment is not permitted.
 
11. Client Responsibilities
Clients are responsible for:
• Providing accurate information about their services
• Responding to prospects in a timely manner
• Attending scheduled appointments
• Conducting meetings professionally
• Following up appropriately after introductions

BizOptify is not responsible for missed opportunities caused by delayed responses or lack of follow-up by the client.
 
12. Reasonable Outreach Effort
BizOptify will make reasonable efforts to generate appointments within the client’s target market. However, results may vary depending on market conditions, industry demand, geographic area, and other factors outside of BizOptify’s control.
 
13. No Guarantee of Exclusivity
BizOptify does not guarantee exclusivity within geographic markets or service industries unless otherwise agreed to in writing.

Multiple clients may operate within similar service categories.
 
14. Limitation of Liability
To the fullest extent permitted under California law, BizOptify and Certiplex shall not be liable for any indirect, incidental, or consequential damages resulting from the use of services.

Total liability shall not exceed the amount paid by the client for the services purchased.
 
15. Chargebacks and Payment Disputes
By purchasing services, the client agrees to these Terms and Conditions.

Clients agree to contact BizOptify directly to attempt to resolve any concerns before initiating a chargeback or payment dispute with their payment provider.
 
16. Independent Contractor Relationship
BizOptify operates as an independent service provider. Nothing in this agreement shall be interpreted as creating a partnership, joint venture, or employment relationship between BizOptify and the client.
 
17. Entire Agreement
These Terms and Conditions constitute the entire agreement between the client and BizOptify regarding services provided.

No verbal statements or prior communications shall modify these terms unless confirmed in writing.
 
18. Modification of Terms
BizOptify reserves the right to modify or update these Terms and Conditions at any time. Updated terms will become effective upon publication on this website.
 
19. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of California.

Any disputes shall be handled within the jurisdiction of courts located in California.
 
20. Verification of Replacement Claims
If a client reports that an appointment did not occur as expected or claims that a prospect was not interested, BizOptify reserves the right to contact the prospect directly to verify the circumstances.

BizOptify may have a member of its outreach team reconnect with the business to confirm the accuracy of the claim and determine whether the appointment met the qualification standards.

In some cases, this follow-up contact may restore the opportunity and allow the client to proceed with the conversation.

BizOptify will review the results of this verification process before determining whether a replacement appointment is appropriate.
 
21. Resale or Redistribution of Appointments
Appointments and prospect contact information provided by BizOptify are intended solely for use by the purchasing client and their business.
Clients may not resell, redistribute, transfer, or provide appointment information to third parties for resale, lead generation, or similar purposes without the prior written consent of BizOptify.

BizOptify reserves the right to suspend or terminate services if appointment information or prospect contact details are found to be resold, redistributed, or used in violation of these Terms and Conditions.

Clients found to be misusing appointment information may also be denied future services at BizOptify’s discretion.

All content on the BizOptify website, including text, graphics, service descriptions, and branding, is the property of Certiplex and may not be reproduced, copied, or distributed without permission.
